What Zignalbox Is
Zignalbox is a software-as-a-service (SaaS) platform that automates the execution of trading signals on your personal Binance account. When a signal is generated by a TradingView algorithm, Zignalbox places orders — market entries, stop-losses, and take-profits — through the Binance API using your own API credentials.
Zignalbox is a technology tool. It is not a brokerage, an investment fund, a fund manager, an investment advisor, a portfolio manager, or a financial institution of any kind. Zignalbox does not hold, custody, transfer, or have any legal claim over your funds. All assets remain in your own Binance account at all times. Zignalbox's operator never has access to your funds.
Eligibility
- You must be at least 18 years of age.
- You must hold a valid Binance account and comply with Binance's own terms of service and applicable regulations.
- You must be legally permitted to engage in cryptocurrency and derivatives trading in your jurisdiction. It is your sole responsibility to verify this before using the platform.
- Residents or nationals of jurisdictions where algorithmic trading, cryptocurrency trading, or derivatives trading is prohibited or restricted are not authorized to use Zignalbox.
- By creating an account you represent and warrant that you meet all eligibility requirements listed here and in Section 3.
Jurisdiction-Specific Notices
These notices are an integral part of these Terms. If any notice in this section applies to you, you must read it carefully before using the platform.
Specific Information for US Persons
The services offered by Zignalbox are not directed at, and may not be used by, any person who is a "U.S. person" as defined in Rule 902(k) of Regulation S under the United States Securities Act of 1933, as amended, or any person subject to U.S. jurisdiction, including U.S. citizens, residents, or entities organized under U.S. law. Zignalbox has not been reviewed, registered, or approved by the U.S. Securities and Exchange Commission (SEC), the Commodity Futures Trading Commission (CFTC), the Financial Industry Regulatory Authority (FINRA), FinCEN, or any other U.S. regulatory authority. If you are a U.S. person, you are not authorized to use Zignalbox and must immediately discontinue any use. By accessing or using this platform, you represent and warrant that you are not a U.S. person and are not accessing the platform from within the United States.
Specific Information for EU Residents
Zignalbox is not registered as an investment firm, crypto-asset service provider (CASP), or financial intermediary under Regulation (EU) 2023/1114 on Markets in Crypto-Assets (MiCA), the Markets in Financial Instruments Directive (MiFID II), or any other European Union financial regulation. No EU regulatory authority has reviewed, authorized, or approved the services described herein. EU residents who access Zignalbox do so exclusively on their own initiative and acknowledge that these services have not been approved for distribution or marketing under any EU regulatory framework. Your personal data is processed in accordance with our Privacy Policy, consistent with the General Data Protection Regulation (GDPR). You may submit data subject requests to hello@zignalbox.com.
Specific Information for Canadian Residents
No securities commission or similar regulatory authority in Canada — including the Ontario Securities Commission (OSC), the British Columbia Securities Commission (BCSC), or the Autorité des marchés financiers (AMF) — has reviewed, approved, or passed upon the merits of this platform or any information contained herein. Any representation to the contrary is a criminal offense. Canadian residents who access Zignalbox do so on their own initiative and are solely responsible for compliance with all applicable federal and provincial laws.
Restricted Jurisdictions & Sanctions
Zignalbox does not provide services to individuals or entities that are: (a) located in, residents of, or nationals of any country subject to comprehensive sanctions by the U.S. Office of Foreign Assets Control (OFAC), the United Nations Security Council, or the European Union, including but not limited to Iran, North Korea, Cuba, Syria, the Crimea region, the Donetsk and Luhansk People's Republics, or Belarus; or (b) listed on any sanctions list, including the OFAC Specially Designated Nationals (SDN) list. Circumventing these restrictions through the use of VPNs, proxy servers, or other means is strictly prohibited and constitutes a material breach of these Terms.
Your API Keys and Account Access
To use Zignalbox, you connect your Binance API key. By doing so, you grant Zignalbox permission to:
- Read your account balance and open positions.
- Place and cancel orders (market entries, stop-loss orders, take-profit orders, trailing stops).
Zignalbox will never request or exercise the ability to withdraw funds, transfer assets to external addresses, or change your Binance account settings. You should configure your API key with withdrawal permission disabled. Failure to do so is your own risk.
Your API credentials are encrypted at rest using AES-256-GCM encryption. They are transmitted only to Binance servers and are never shared with any third party. Your unencrypted API key and secret are never stored in plaintext on our systems.
You are solely responsible for the security of your Binance account, including enabling two-factor authentication, monitoring for unauthorized access, and revoking API access at any time directly through Binance.
No Investment Advice — No Guarantee of Returns
Nothing on this platform — including strategy performance metrics, equity curves, win rates, profit factors, trade history, or any other data — constitutes investment advice, financial advice, trading advice, tax advice, legal advice, or any other form of professional advice. Zignalbox does not broker trades on your behalf in any advisory capacity. No service provided by Zignalbox shall be construed as providing advice of any kind.
All strategy performance data represents historical results and/or backtested simulations. Historical and simulated results do not guarantee future performance. Markets can and do behave differently from historical patterns. The algorithms may generate losses. You may lose your entire trading balance. By using Zignalbox, you explicitly acknowledge and agree that:
- Past performance of any trading strategy does not guarantee future results.
- Leveraged futures trading can result in losses exceeding your initial margin deposit.
- Spot trading without leverage does not eliminate risk — you can still lose your entire principal.
- Zignalbox makes no representation that any strategy will be profitable over any time period.
- You are solely responsible for determining whether these services are appropriate for your financial situation, risk tolerance, and investment objectives.
Automated Trading — How the System Works
Zignalbox executes trades based exclusively on algorithmic signals generated by TradingView strategies. The system exercises no discretion over individual trade decisions. It does not select which signals to act on, does not modify signal parameters, and does not override or second-guess the algorithm. Every order placed is a direct mechanical response to a signal received.
You configure risk parameters — including subscription tier, which instruments are active, and Binance account settings such as leverage and margin mode — and the system executes within those parameters. You remain responsible for:
- Monitoring your Binance account and open positions at all times.
- Ensuring your Binance account has sufficient margin and balance.
- Disconnecting the platform if you wish to pause or stop automated trading.
- Understanding that algorithmic strategies may suffer losing streaks without human intervention.
No human review of individual trade decisions occurs within Zignalbox's system.
Subscription and Access
Access to Zignalbox is granted through a subscription managed by an administrator. During the current private beta, subscriptions are issued manually via invitation codes and are prepaid in full. No automatic billing, recurring charges, or automatic renewals apply unless explicitly agreed upon in writing by both parties.
Your subscription grants access to the platform features corresponding to your tier for the stated duration. Zignalbox reserves the right to modify subscription terms, features, or pricing with reasonable advance notice. If your subscription expires, your account is locked and no new trades will be executed on your behalf. Existing orders and active stop-loss orders on Binance remain in place and continue operating per your Binance settings — they are not cancelled upon account expiry.
Limitation of Liability, Warranty Disclaimer & Indemnification
Disclaimer of Warranties
The platform and all services are provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, Zignalbox expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Zignalbox does not warrant that the platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
Limitation of Liability
To the maximum extent permitted by applicable law, Zignalbox and its operator shall not be liable for any losses or damages of any kind, including but not limited to:
- Trading losses, whether from stop-loss hits, slippage, adverse market movements, or algorithm underperformance.
- Binance API outages, rate limits, order rejections, exchange downtime, or exchange insolvency.
- Internet or network connectivity failures affecting signal delivery or order execution.
- Platform outages, server crashes, scheduled or unscheduled maintenance windows.
- Incorrect configuration of your Binance API permissions or account settings.
- Your failure to monitor your account or to disconnect the service when intended.
- Unauthorized access to your account resulting from your failure to secure your credentials.
- Any indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, or loss of data.
Zignalbox's total aggregate liability to you for any and all claims arising under or related to these Terms or the use of the platform shall not exceed the total amount you paid for your subscription in the 30 days immediately preceding the event giving rise to the claim.
Force Majeure
Zignalbox shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, government actions or regulatory changes, exchange closures, sanctions, cyberattacks on third-party infrastructure, internet backbone failures, or any other event that could not have been prevented by the exercise of reasonable care.
Indemnification
You agree to defend, indemnify, and hold harmless Zignalbox and its operator, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to: (a) your use of or access to the platform; (b) your violation of any provision of these Terms; (c) your violation of any applicable law or regulation; or (d) your breach of any representation or warranty made herein.
Prohibited Use & AML Compliance
You agree not to use the platform to:
- Share, sell, or transfer your account credentials or invitation access codes to third parties.
- Attempt to reverse-engineer, copy, decompile, disassemble, or redistribute the platform, its algorithms, or its source code.
- Engage in market manipulation, including placing orders with intent to cancel before execution, spoofing, or wash trading.
- Violate any applicable law or regulation, including securities laws, tax laws, anti-money laundering (AML) laws, or counter-terrorism financing (CTF) regulations.
- Circumvent sanctions restrictions through the use of VPNs, proxy servers, or other technical means.
- Interfere with, disrupt, or impair the platform's infrastructure, servers, or other users' accounts.
- Provide false, inaccurate, or misleading information during registration or at any time thereafter.
- Use the platform in a manner inconsistent with applicable Financial Action Task Force (FATF) standards.
Zignalbox is committed to compliance with applicable anti-money laundering and counter-terrorism financing regulations. We reserve the right to suspend or terminate accounts and report suspicious activity to relevant authorities where required by law, without prior notice to you.
Account Suspension and Termination
Zignalbox may suspend or terminate your account at any time, with or without notice, if: (a) you violate any provision of these Terms; (b) we are required to do so by applicable law or a regulatory order; (c) continued operation poses a risk to the platform or other users; (d) your subscription expires; or (e) we reasonably suspect fraud, money laundering, or other illegal activity.
Upon termination:
- No new orders will be placed on your behalf.
- Existing orders and active stop-loss orders on Binance remain active until you cancel them manually through your Binance account.
- Your encrypted API credentials will be deleted from our systems within 30 days of account closure.
You may disconnect your account and revoke all API access at any time via Dashboard → Exchange → Disconnect, or by revoking the API key directly in your Binance account settings.
Privacy and Data
Zignalbox collects and processes your name, email address, encrypted Binance API credentials, Telegram chat ID (optional), and trade execution history. This data is used solely to operate the service and is processed in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
- We do not sell your personal data to third parties.
- Trade history is stored in our database to power your dashboard and track record features.
- IP addresses are logged for security monitoring purposes only.
- You may request deletion of your account and personal data at any time by contacting hello@zignalbox.com.
Changes to These Terms
We reserve the right to update or modify these Terms of Service at any time. Material changes will be communicated via Telegram notification, in-app notification, or email at least 7 days before they take effect. Continued use of the platform after the effective date of any change constitutes your acceptance of the revised Terms. The effective date at the top of this page always reflects the most recent revision. We encourage you to review these Terms periodically.
Dispute Resolution
Notice Requirement. Before initiating any formal legal proceeding, you agree to send written notice of your dispute to hello@zignalbox.com describing the nature and basis of the claim and the specific relief sought. We will have 30 days from receipt of such notice to attempt to resolve the dispute.
Good-Faith Negotiation. If the dispute is not resolved within 30 days, both parties agree to attempt resolution through good-faith negotiation for a further 30 days before proceeding to arbitration.
Binding Arbitration. If the dispute remains unresolved after the above process, it shall be finally resolved by binding arbitration conducted under the UNCITRAL Arbitration Rules, as in effect at the time of the dispute. The seat of arbitration shall be San José, Costa Rica. The arbitration shall be conducted in English by a single arbitrator appointed by mutual agreement of the parties or, failing agreement, by the appointing authority under the UNCITRAL Rules. The arbitral award shall be final and binding on both parties and may be enforced in any court of competent jurisdiction.
Class Action Waiver. You and Zignalbox agree that all claims must be brought on an individual basis only. You waive any right to bring or participate in any class action, collective action, representative action, or multi-party arbitration. This waiver is a material term of this agreement; if it is found unenforceable with respect to a particular claim, that claim shall be severed and litigated in a court of competent jurisdiction while all other claims proceed in arbitration.
Exceptions. Nothing in this section prevents either party from seeking emergency injunctive or other equitable relief from a court to prevent irreparable harm pending the outcome of arbitration.
Governing Law
These Terms and any dispute arising out of or in connection with them — including any question regarding their existence, validity, or termination — shall be governed by and construed in accordance with English common law, without regard to conflict of law provisions.
Zignalbox is operated by an individual based in Costa Rica. The choice of English common law as the governing law is intended to provide a neutral, internationally recognized legal framework. It does not constitute submission to the jurisdiction of the courts of England and Wales, which is superseded by the arbitration clause in Section 13.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms without affecting the validity or enforceability of the remaining provisions.
Entire Agreement. These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Zignalbox with respect to the subject matter hereof and supersede all prior agreements, understandings, and representations.
No Waiver. Failure by Zignalbox to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision in the future.
